In Morocco, the statutory auditor is appointed by the ordinary general meeting and must be registered with the Institute of Chartered Accountants; the obligation to appoint one depends in particular on the legal form and revenue thresholds. Our teams guide you through these requirements.
The status of the statutory auditor in Morocco stems from the 1999 company law reform (Law 17-95 on the société anonyme). The auditor's report must state whether the annual financial statements have been drawn up in accordance with the applicable framework and whether they give a true and fair view of the company.
A statutory audit is mandatory for every société anonyme, for listed companies, for banks and insurance companies, and for any company whose annual revenue exceeds MAD 50 million. Listed companies, banks, credit institutions and insurers must appoint two statutory auditors acting jointly.
Auditors are bound by the ethics standards of the Institute of Chartered Accountants: identifying threats to their independence and applying the corresponding safeguards. Independence is the single most important factor in the credibility of the audit opinion — the auditor must be free of any conflict of interest with managers or directors.
The purpose of the engagement is to provide written, reasonable assurance from an independent source that the financial statements present a true and fair view in accordance with the accounting framework — which is what gives them their value with shareholders, banks and investors.
Every société anonyme must appoint one, whatever its size. Other forms (such as the SARL) must do so once annual revenue exceeds MAD 50 million. Listed companies, banks, credit institutions and insurers appoint two joint auditors.
The statutory audit is a legal obligation with a standardised opinion delivered to the general meeting. A contractual audit is requested voluntarily — by a parent company, an investor or a lender — and its scope is tailored to the need.
It depends on the size and complexity of the business. A typical engagement combines interim work before year-end and final procedures after closing, timed so the opinion is ready for the general meeting within six months of year-end.
